Shareholders' Meeting 2024

The Annual General Meeting of BRANICKS Group AG was held on Thursday, August 22, 2024, 10:00 a.m. (CEST) (= 8:00 a.m. UTC (coordinated universal time)) as a virtual general meeting without physical attendance of shareholders or their proxies.

Notice of invitation together with the agenda and the management’s proposed resolutions, including

• explanation of agenda items not requiring a quorum (items 1 and 4)
• information on the total number of shares and voting rights

Annual report 2023, together with

• consolidated financial statements
• summarized management report and group management report
• report of the supervisory board
• explanatory report in accordance with sections 289a, 315a HGB

Remuneration report according to section 162 AktG, including audit opinion (item 4)

The written report drafted by the management board in accordance with section 203 (2), clause 2 and section 186 (4), clause 2 AktG on the reasons for the authorization of the management board to exclude the subscription right of shareholders in the utilization of the authorized capital 2024
