Bondholder Vote August 2026

BRANICKS Group AG invites the holders of its corporate bond 2021/2026 (ISIN XS2388910270 – WKN A3MP5C) to participate in a vote without a meeting during the period from Saturday, 15 August 2026 to Monday, 17 August 2026.

Noteholders may cast their votes either (i) through Kroll Issuer Services Limited (the “Tabulation Agent”) or (ii) directly with the Chairperson of the Vote.

For efficiency reasons, noteholders are encouraged to vote through the Tabulation Agent. Please register no later than 14 August 2026 at https://deals.is.kroll.com/branicks and submit your voting instructions there. You will then receive an email containing a unique identifier reference. Please ask the entity with whom your notes are registered in the clearing system (usually your custodian bank) to arrange, through the clearing system and quoting this reference, for a consent instruction to be submitted to the Tabulation Agent and for your notes to be blocked for transfers until the end of the voting period. The consent instruction must also be received by the Tabulation Agent no later than 14 August 2026 to allow the Tabulation Agent to cast your votes in accordance with your instructions.
